Overview
We are Sentinel Holdings Group, Inc., a North Carolina C-Corporation with a registered office at 485 Spartan Dr, Lexington, NC 27292, doing business as Postwise ("Postwise," "we," "us," "our"). These Terms of Service (the "Terms") make up an agreement between you and Sentinel Holdings Group, Inc. that governs your purchase and use of the Postwise browser extension, the Postwise dashboard and marketing site at usepostwise.com, the Postwise Partners portal, and the support we provide around them (together, the "Service"). Capitalized terms are defined in Section 18.
You accept these Terms when you complete checkout on usepostwise.com, install the Extension into your browser, sign up for the Partners program, or otherwise use any part of the Service. If you do not agree, do not install the Extension, and request a refund under Section 2.
Postwise is offered only to residents of the United States. You must be at least 18 years old, be legally able to enter into a binding contract, and have a Facebook account in good standing under Facebook's own terms.
We have kept these Terms in plain English on purpose. Where a passage sounds formal, that section carries real legal weight (payments, licensing, liability, disputes). Where a commitment matters to you, we have stated it in a full sentence rather than a defined term.
1. The Service
Postwise is a browser extension for tradespeople that automates listing your services on Facebook Marketplace and, on the optional Postwise Software tier, helps you manage the buyer conversations that come back.
1.1 What the Base Tier does
The Base Tier, included with the one-time onboarding fee, drives Facebook's own Marketplace composer to publish the service ads you set up during onboarding. You choose the service area, cities, categories, photos, and copy variants. Postwise rotates them on the cadence you set, within the daily safety caps we ship by default. You keep manual publish controls at all times, and you can override any automated behavior.
1.2 What Postwise Software adds
The optional Postwise Software subscription unlocks:
- Facebook Groups posting, driven through the same Group composer Facebook exposes to you when you post yourself.
- The active message inbox, which reads Facebook Marketplace buyer and seller threads inside your logged-in session, decrypts the message text on your machine, and organizes leads with stages, reminders, notes, custom overlay labels, and, where you opt in under Section 4.4, quick-reply auto-send.
- Auto-relist workflows that drive Facebook's own renew and relist dialogs on the schedule you set.
- The health monitor that surfaces Facebook signals we can read from your session and prompts you to respond.
- Priority support and access to new features we ship during your subscription.
1.3 Where the Service runs
Postwise runs inside your own copy of Google Chrome, Microsoft Edge, or Brave on Windows, macOS, or ChromeOS. It does not run on iOS or Android; Facebook Messenger notifications that Facebook itself delivers to your phone are unaffected.
The Extension only operates while your computer is on and the browser is running. Scheduled posts do not run overnight if the machine is off. Internet outages, sleep settings, and system updates on your machine can pause the Extension.
1.4 Onboarding and support
Your onboarding fee includes a scheduled 30-minute onboarding call with a person on our team, who walks you through installation, template setup, and your first live listings. You schedule the call from our calendar after payment.
Every question about your license, refund, device transfer, subscription, or account is handled by a real person at support@usepostwise.com. Postwise Software subscribers receive priority support.
1.5 US coverage
Postwise's location catalog is limited to the approximately 28,000 United States ZIP codes that Facebook Marketplace currently accepts. Features that depend on that catalog are unavailable outside the United States.
2. Fees, refunds, and the Postwise Software subscription
2.1 Onboarding fee
The onboarding fee is $299 (USD), charged once via Stripe on the checkout page. It grants you a license to the Base Tier for as long as your Postwise Software subscription is active, and includes the onboarding call described in Section 1.4. It is not a subscription and is never charged again on resume, reinstall, or renewal.
2.2 30-day refund on onboarding
You may request a full refund of the $299 onboarding fee within 30 days of purchase by replying to your Stripe receipt or emailing support@usepostwise.com. You do not have to explain why. Refunds are processed personally, ordinarily within one business day.
After the 30-day window, onboarding refunds are final, with one carveout: if Postwise stops working for reasons on our end and we cannot restore it within a reasonable time, you are entitled to a pro-rated refund of the onboarding fee.
2.3 Postwise Software subscription
Postwise Software is an optional monthly subscription of $99 (USD) per month, billed by Stripe on the day of the month you first subscribed. You may:
- Cancel the subscription at any time from your dashboard or by emailing support. Cancellation stops future charges. Extension features remain available through the end of the current paid period; when the period ends, the Extension stops activating and posting until you resubscribe. We do not pro-rate mid-month cancellations.
2.4 Feature guarantee for active subscribers
The Postwise Software features listed in Section 1.2 as of the day you first subscribed will remain part of Postwise Software for as long as your subscription stays active. Features we add during your subscription are included at no additional cost. We may retire an individual Postwise Software feature only if a third-party platform change or a legal obligation forces us to; if that happens, we will notify active subscribers by email.
2.5 Taxes
Fees exclude any sales, use, VAT, GST, or similar taxes. Where we are required to collect tax, Stripe will add it at checkout. Where you are required to remit tax on your side, that responsibility is yours.
2.6 Promotion and referral codes
Checkout accepts promotion codes issued by Postwise or by our approved Partners. Codes are single-use per checkout, cannot be combined, and cannot be redeemed for cash. Where a Partner referred you, we credit the Partner under the Postwise Partners Program terms; the credit does not change what you pay.
2.7 Price changes
We may adjust the Postwise Software price for future billing cycles; if we do, we will notify you before your next renewal. The $299 onboarding fee is never re-charged to existing customers, including if you pause and resume Postwise Software.
2.8 Chargebacks
If you dispute a charge with your bank or card issuer instead of contacting support first, we may deactivate your license until the dispute is resolved. Please email support before opening a chargeback; we would rather refund you directly and quickly.
2.9 How we are funded
You pay us directly. That is the entire funding of the Service. We do not run advertising inside Postwise. We do not sell your data to anyone. We do not accept payment from anyone other than you. We do not use or transfer your data to determine creditworthiness or for lending purposes. We do not use or transfer your data for any purpose unrelated to running the Service.
3. Your license and your account
3.1 License grant
Subject to your payment of the onboarding fee and your continued compliance with these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use the Extension on one device at a time, for use in your own trade or service business, for as long as these Terms remain in effect. This license runs for as long as your Postwise Software subscription is active. Postwise Software features are licensed to you only while your subscription is active.
3.2 What you may not do with the license
You may not:
- Share your License Key, distribute the Extension, or resell access to Postwise.
- Reverse-engineer, decompile, disassemble, or attempt to extract source code, keys, or internals from the Extension, except to the extent this restriction is prohibited by applicable law.
- Remove or obscure Postwise branding, publisher identity, or license notices.
- Use the Extension to build a competing product.
- Use the Extension to scrape data from Facebook or any other site beyond the buyer-conversation reads the Service is designed to perform on your own account.
3.3 One device at a time; transfers
Your license is tied to your billing email and, technically, to a hashed identifier of the device you install on. A single license may be used by the individual buyer or by the business that paid for it, on one active workstation at a time. You may move your license to a different device at any time and for any reason — new laptop, replaced computer, moved office, business sale — by requesting a device change from inside the Extension itself, using your account email and password. Requests are reviewed manually to protect the one-device rule and are ordinarily approved within about an hour. If you have lost access to the Extension and cannot submit the in-extension request, email support@usepostwise.com from your billing address as a fallback. Because your license is bound to a device fingerprint, an unapproved move will fail on the next license check.
If you sell your business and want to hand the license to the buyer, email support. We usually complete transfers within one business day.
If we detect that a License Key is being used simultaneously on multiple devices or by unrelated businesses, we may deactivate the key and terminate the license under Section 11.
3.4 Account security
You are responsible for keeping your License Key, your dashboard password, and your billing email account secure. Anything done under your license or dashboard login is treated as done by you. If you believe your License Key or dashboard credentials have been compromised, email support@usepostwise.com immediately so we can reset them.
Our dashboard uses session tokens that expire on a schedule and can be revoked server-side. We can revoke a session on demand, and every mutating call re-checks that the session is still valid. If you lose a device, tell us, and we will revoke any dashboard sessions signed in from it.
3.5 Accurate information
Give us accurate billing and contact details, and keep them current. The email you give Stripe at checkout is your account of record — we send license keys, receipts, refund confirmations, device-transfer approvals, and material notices to it. If your business changes hands, use the license-transfer flow in Section 3.3 rather than handing your credentials to the new owner.
3.6 Accessibility
Postwise runs inside standard desktop browsers. Where possible, we honor the accessibility features of the browser and operating system you use, including keyboard navigation, screen readers, and high-contrast modes. If a Postwise feature blocks you from using assistive technology, please email support so we can investigate.
4. Acceptable use
You agree to use Postwise only for your own trade business and only in ways that comply with these Terms, applicable law, and the terms of the third-party platforms the Service touches (in particular, Facebook).
4.1 What you may not do
You may not use the Service to:
- Post content you do not own or do not have the right to sell.
- Post listings that violate Facebook's Commerce Policies or Community Standards (prohibited categories, misleading pricing, misrepresented condition, restricted goods).
- Post content that is illegal, fraudulent, harassing, hateful, or infringes another person's rights.
- Impersonate another business or another Marketplace seller, or represent inventory or services you do not actually offer.
- Send spam, mass unsolicited messages, or automated messages that are not tied to a real buyer conversation on one of your own listings.
- Circumvent, disable, or attempt to defeat the rate limits, safety caps, or cadence throttles we build into the Service to reduce ban risk.
- Attack, probe, or attempt to disrupt our servers, our billing provider, or Facebook.
4.2 You are the account holder and the sender of record
Postwise operates inside your own logged-in Facebook session on your own device. You are the account holder, publisher, and sender of record for every listing published, every Group post made, every renew dialog opened, and every message sent through the Service on your behalf.
4.3 No cross-account rotation for evasion
If Meta suspends your Facebook account, do not use Postwise to run listings from a second account for the same business as a workaround. That pattern violates Meta's terms and creates account-linkage risk we cannot help you with.
4.4 Auto-send is opt-in
The Postwise Software quick-reply feature can send messages from your Facebook account. It is off by default and requires a per-feature opt-in. When you enable auto-send, messages are sent from your account without additional confirmation. You are the sender of record for every message, including its timing, recipient, and content. Do not use auto-send for anything a reasonable reader would consider spam, and do not use it in a way that would violate CAN-SPAM, TCPA, or any similar law.
4.5 Enforcement
If you materially breach this Section 4, we may suspend your license immediately under Section 11 and, in serious cases, terminate it without refund.
5. Automation and Facebook's platform
Postwise automates actions that a user could otherwise perform manually on facebook.com — posting listings, relisting expired listings, drafting replies, and, where you opt in, sending quick-reply messages from your own account. Automation on Facebook carries risk that we cannot eliminate. You acknowledge and accept that:
- Facebook's Terms of Service restrict automated interactions. Using Postwise may, in Facebook's judgment, violate those terms, even though Postwise operates through your own browser and drives Facebook's own user interface.
- Facebook may throttle, checkpoint, restrict, or permanently ban your account at any time and without notice. If Facebook restricts or disables your account, Postwise cannot restore it.
- The safety caps, cadence throttles, and human-in-the-loop controls we ship exist to reduce that risk, not to eliminate it, and you agree not to disable or bypass them.
- You are the account holder and are responsible for everything the Service does under your session.
Nothing in these Terms makes Postwise responsible for actions Facebook takes on your account.
6. Installation, updates, and remote configuration
6.1 Distribution and installation
Postwise is distributed off the Chrome Web Store. After payment, you receive an email with your activation key and a link to sign in to your account. From your account page at usepostwise.com/account, you download the current build under the Install tab and watch the short install video under the Learn tab. You side-load the unpacked folder into your browser's extensions page and paste the License Key. Installation typically takes about a minute. We distribute this way because the feature set requires host permissions and background behavior that the Chrome Web Store review process does not accommodate for this use case.
6.2 Updates
We ship updates from time to time. Some are cosmetic; others rewrite how the Extension interacts with Facebook because Facebook has changed its own site. Base-Tier updates are included in your onboarding purchase — there is no re-charge. Postwise Software updates and new Postwise Software features ship to active subscribers as part of the subscription. Because Postwise is not distributed through a store, you receive updates by downloading the newest build from the same portal, using the same License Key, or, where enabled, through the Extension's own updater.
We reserve the right to modify Postwise materially, at any time, without additional charge, when doing so is necessary to keep the Service working, safe, or compatible with a third-party platform. Where a change materially reduces what you can do with a feature you actively use, we will describe the change in the update notes.
6.3 Remote configuration
The Extension reads a small remote configuration file from api.postwise.com on start. We use it to update the announcement card, the feature-vote card, and, if we have to, to disable or reconfigure a broken or risky feature quickly without shipping a new build. The file contains no personal data. You accept that we can remotely disable or reconfigure Service features this way to respond to platform policy changes, ship security fixes, address bugs that create risk to your Facebook account, or protect the Service. We do not use remote configuration to send you marketing.
7. Facebook and other third-party services
7.1 Not affiliated with Meta
Postwise is an independent third-party tool. It is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. or any of its products. Facebook, Messenger, and Facebook Marketplace are trademarks of Meta Platforms, Inc. Your relationship with Facebook is governed by Facebook's own terms, community standards, and commerce policies, which you are responsible for reading and complying with. We cannot guarantee that a listing you publish through Postwise will remain live, that your Facebook account will remain in good standing, or that a change on Facebook's side will not break a feature that worked yesterday.
7.2 Browsers, machines, and networks
Your browser vendor governs how extensions install, update, and run inside its browser. Your browser's own extension policies, Safe Browsing decisions, enterprise-management rules, and updates can affect Postwise. If your browser blocks or removes the Extension, Postwise cannot override that.
7.3 Subprocessors
We use Stripe for payments, Postmark for transactional email, Vercel for hosting our marketing site and dashboard, and a managed Postgres provider for our database. Their use of any data we hand them is governed by their own terms; the data we hand each of them is described in the Privacy Policy.
7.4 Platform outages beyond our control
If Facebook makes a change that breaks or requires us to disable a Postwise feature, we will do our best to ship a fix. Where we cannot, your remedy is Section 2.2 (pro-rated onboarding refund where applicable) or Section 2.3 (cancel Postwise Software), not damages.
8. Privacy and your data
Our handling of personal data is governed by the Privacy Policy at usepostwise.com/privacy, incorporated into these Terms by reference. The short version:
- On our servers, we hold what you give us at checkout (billing email, Stripe customer and payment identifiers), what you give us in support (support emails and our replies), your dashboard account, and, for Partners, your Partner application details.
- In your browser, the Facebook Marketplace data the Extension works with — your listings, buyer and seller conversations, quick replies, reminders, custom overlay labels, and the message inbox cache — lives in your browser's local storage and IndexedDB on your own machine. It is not transmitted to a Postwise server. If you uninstall the Extension, that data is deleted with it. If you export a CSV, the CSV is yours to keep or delete. We cannot restore listings, leads, or message threads that you delete or lose.
- We do not receive your Facebook password, your personal Messenger inbox unrelated to Marketplace threads, your friends list, your timeline, or your photos.
- We do not sell your data. We do not use it to determine creditworthiness or for lending purposes. We do not use or transfer it for purposes unrelated to the Service.
- Your rights. You have rights under California law, and, to the extent it applies, GDPR, to access, correct, delete, and port the personal data we hold, and to lodge a complaint with your supervisory authority. Exercise them by emailing support. We respond on the timeline set out in our Privacy Policy.
The Service is offered to residents of the United States. It is not directed at data subjects in the European Union or European Economic Area. Data we hold on our servers is processed and stored in the United States.
9. Intellectual property and feedback
9.1 Our property
We (or our licensors) own the Extension, the dashboard, the Postwise name and marks, our documentation, and everything we publish. Nothing in these Terms transfers ownership of any of it to you. The license in Section 3 is the only right you receive. You may not copy the Extension, redistribute it, publish clones, or use the Postwise name or logo to imply we endorse you without our written permission.
9.2 Your listings and your leads
You own your listing content (titles, descriptions, prices, photos), your Facebook account, your buyer and seller conversations, and the notes and labels you add inside the Extension. We do not claim any license to that content beyond what is technically necessary for the Extension to display and act on it inside your own browser.
9.3 Warranty on submissions
You represent that any content you upload — including listing photos, listing text, and messages sent from your Facebook account through Postwise — is content you have the right to use and does not violate any third party's rights.
9.4 Feedback
If you send us product feedback, feature votes, bug reports, or suggestions through the Extension, the marketing site, or email, you grant us a non-exclusive, worldwide, royalty-free license to use that feedback to improve the product, with no obligation to you. We will not attribute your feedback publicly without your consent. This license covers only the suggestions themselves; it does not extend to your listing content or your business data.
9.5 Third-party marks
Every third-party name, logo, and trademark that appears in the Extension (Facebook, Meta, Chrome, Edge, Brave, Stripe, Postmark, Vercel) belongs to its respective owner and is used descriptively.
10. Postwise Partners Program
Postwise operates a Partners Program that pays approved partners a flat referral fee for paid signups they refer. The program is governed by these Terms plus the partner-facing terms shown at application.
- Enrollment. Enrollment is instant and self-serve — completing the Partner application activates your Partner account immediately and issues a session so you can start referring right away. We may suspend, remove, or revoke a partner at any time who violates these Terms, misrepresents Postwise, or drives fraudulent or self-referred traffic.
- Compensation. Approved partners earn a flat $99 (USD) one-time payout for each paid $299 onboarding checkout that is properly attributed to the partner's unique referral or promotion code and that clears through Stripe. Postwise Software subscription payments do not currently trigger a partner payout.
- Payouts. Each paid signup earns $99, one-time. After a seven-day cooldown (to protect against chargebacks and refunds), the $99 is paid out. No minimum balance threshold. We support PayPal and ACH.
- Reversals. If a referred purchase is refunded — including within the 30-day money-back window — or if the checkout session expires, the corresponding referral is reversed on our ledger. Payouts already sent for reversed referrals are resolved case by case with support and do not affect the customer's refund.
- Prohibited practices. Partners may not bid on Postwise trademarks in paid search, use misleading advertising, spam prospective customers, buy their own referrals through any means, or promise features Postwise does not offer.
- Required endorsement disclosure (FTC 16 CFR Part 255). If you promote Postwise using your referral link or promo code and there is a material connection between you and Postwise — the Partners Program payment is a material connection — you must disclose that connection clearly and conspicuously in the same medium as the recommendation. Acceptable examples: "Affiliate — I earn a commission if you sign up through this link," "Sponsored," "Ad," or a plainly labeled "#Ad" in a social-media post. The disclosure must be immediately visible without expanding a "more" link, hovering, or scrolling past a fold. Video recommendations must include both a verbal and an on-screen disclosure. Postwise reserves the right to require you to correct or remove any endorsement that does not meet these requirements and may terminate a partner who repeatedly fails to disclose.
- Independence claims prohibited. You may not present a compensated endorsement as an independent review, an editorial article, or organic word-of-mouth. If your audience would reasonably assume you are unpaid, you must disclose the compensation.
- Testimonials must reflect your honest experience. You may not attribute results to Postwise that you did not personally observe. If your results are atypical, say so.
- Recordkeeping. By enrolling you agree that Postwise may request evidence of your disclosures on referrals attributed to your account. Failure to produce disclosure evidence on request is grounds for suspension and forfeiture of unpaid balances tied to the affected referrals.
11. Suspension and termination
11.1 Termination by you
You may stop using Postwise at any time by uninstalling the Extension. Uninstalling removes all locally stored Postwise data — leads, message threads, settings, reminders, templates, custom overlay labels — from that machine. Uninstalling does not, on its own, pause or cancel your Postwise Software subscription; use the dashboard or email support to do that. You may also cancel Postwise Software at any time under Section 2.3, or request an onboarding refund under Section 2.2 within the 30-day window.
11.2 Termination or suspension by us
We may suspend or terminate your license, your Postwise Software subscription, your Partners account, or your dashboard access if:
- You materially breach these Terms, including Section 4 (Acceptable use).
- You fail to pay Postwise Software fees and do not resolve the failure within a reasonable notice period.
- A chargeback or fraud signal is raised on your payment.
- We are required to do so by law or by an order from a court, regulator, or platform partner.
- We reasonably believe your continued use is causing or is likely to cause a risk to another user, to our third-party providers, or to Postwise.
Where the circumstances allow, we will give you notice and, for non-material issues, a chance to cure before we terminate.
11.3 Effect of termination
If we terminate for cause, the onboarding fee and any paid Postwise Software months are non-refundable. If we terminate without cause and for reasons not tied to your conduct, we will refund the unused portion of any prepaid Postwise Software month.
On termination, your right to install or run the Extension ends. Local data on your device is not automatically deleted; you can delete it by uninstalling the Extension or clearing your browser data. On our servers, we retain what we are required to retain for tax, accounting, fraud, and legal purposes; we delete or de-identify the rest according to the retention criteria in the Privacy Policy.
Sections that by their nature should survive termination — including 3.2, 4, 8, 9, 12, 13, 14, 15, 17, and 18 — do so.
11.4 No termination for good-faith rights exercise
We will not terminate or suspend your license because you exercised a right under these Terms or under applicable consumer-protection or privacy law.
12. Disclaimer of warranty
We provide the Service on an "as is" and "as available" basis, with the reliability of a small, focused software product that runs inside a browser and integrates with a third-party platform we do not control. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including any warranty of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, or error-free operation.
We do not guarantee that using Postwise will produce any specific number of leads, sales, conversions, ranking, or revenue. Copy on our marketing site and inside the dashboard that describes typical outcomes is illustrative, not a contractual promise. Results depend on your trade, your market, your offer, your response speed, your reputation, and factors outside our control.
We are working on Postwise every week. When we get things wrong, we fix them. That is the promise we can make and keep.
13. Limitation of liability
To the maximum extent permitted by law:
- Neither party is liable to the other for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost leads, lost data, loss of goodwill, or business interruption, even if advised of the possibility.
- Our total aggregate liability for all claims arising out of or relating to these Terms or the Service in any 12-month period is capped at the total amount you actually paid to Postwise (onboarding plus any Postwise Software fees) in that 12-month period.
- Nothing in these Terms limits liability that cannot be limited under applicable law, including for our fraud, our willful misconduct, or where a mandatory consumer-protection statute provides otherwise.
This section reflects the allocation of risk between us. Our fees, and the fact that we make Postwise available at all, are set with these limits in mind.
14. Indemnification
14.1 By you
You will defend, indemnify, and hold harmless Sentinel Holdings Group, Inc., its directors, officers, employees, and contractors from any third-party claim, loss, or expense (including reasonable attorneys' fees) arising from:
- Your use of the Service in violation of these Terms or applicable law.
- Content you post to Facebook or elsewhere through the Service, including intellectual-property claims about your listing photos or descriptions.
- Any action taken on your Facebook account through the Service, including Meta enforcement actions against your account.
- Your dispute with a Marketplace buyer, including product condition, delivery, warranty, or payment disputes.
14.2 By us
We will defend, indemnify, and hold you harmless from any third-party claim that the Extension itself, when used in accordance with these Terms, infringes that third party's US patent, US copyright, or trademark. This is our only indemnity obligation.
14.3 Procedure
For any indemnified claim, the party seeking indemnification must promptly notify the other, cooperate reasonably, and let the indemnifying party control the defense. Neither party may settle a claim in a way that binds or admits liability of the other without written consent.
15. Governing law and disputes
15.1 Talk to us first
Before starting any formal proceeding, please email support@usepostwise.com and describe the issue. Most disputes resolve inside a week once someone at Postwise has read the facts. If we have not resolved it within 30 days, either of us may proceed under this Section 15.
15.2 Governing law
These Terms and any dispute arising out of them are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

You and Postwise agree that any dispute will be brought in either (a) the small-claims court for the county in which you reside or in Davidson County, North Carolina, at your option, if the claim qualifies for that court, or (b) the state or federal courts located in North Carolina. Both parties consent to personal jurisdiction and venue in those courts. Both parties waive the right to a jury trial.
15.4 No class actions
Each party may bring claims only on an individual basis. Neither party may participate in a class, collective, or representative action against the other. If a court finds this Section 15.4 unenforceable for a particular claim, that claim may proceed in court, but the rest of Section 15 still applies.
15.5 Injunctive relief
Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property, its confidential information, or the security or integrity of the Service.
16. Changes to these Terms
We may update these Terms as Postwise, Facebook, our payment processor, or the law changes. When we make a material change, we will email the address on your license file with reasonable advance notice and update the "Last updated" date at the top. Non-material changes (typos, formatting, clarifications that do not change your rights) take effect on posting.
If you keep using the Service after a material change takes effect, you accept the changed Terms. If you do not accept a material change, your remedy is to stop using the Service and, where the change affects a paid feature, to request a pro-rated refund under Section 2. Prior versions of these Terms are available on request.
17. General provisions
- Entire agreement. These Terms, the Privacy Policy, and any additional written agreement we sign with you form the entire agreement between us about the Service and supersede any prior discussion or agreement on the same subject.
- Order of precedence. If these Terms conflict with the Privacy Policy on a matter of data handling, the Privacy Policy controls for that matter. If we sign a separate written agreement with you (for example, a Partner agreement), that agreement controls for the matter it addresses.
- Notices. We give you notices by email to the address on your license file or on your Stripe customer record, or by posting them at usepostwise.com. You give us notices by email to support@usepostwise.com. Notices are effective when sent.
- Assignment. You may not assign or transfer these Terms or your license without our written consent, except to a person or entity buying your trade business, in which case use the license-transfer flow in Section 3.3. We may assign these Terms in connection with a merger, acquisition, financing, sale of assets, or corporate reorganization, on notice to you.
- Independent contractors. We are independent contractors. Nothing in these Terms creates an agency, partnership, joint venture, franchise, or employment relationship.
- No third-party beneficiaries. These Terms benefit only you and Postwise. No other person or entity has rights under them.
- Force majeure. Neither party is liable for a failure to perform caused by events outside its reasonable control, including natural disasters, war, civil unrest, government action, network or power outages, or a third-party platform (including Facebook) becoming unavailable or changing its interface in a way that breaks the Service. This does not excuse a payment obligation.
- Severability. If any part of these Terms is held unenforceable, the rest stays in effect. A court is instructed to modify the unenforceable part to the minimum extent needed to make it enforceable while preserving its intent.
- No waiver. If we do not enforce a provision on one occasion, we have not waived our right to enforce it on another.
- English language. These Terms are written in English. Any translation we provide is for convenience; the English version controls.
18. Definitions
The following capitalized terms have the meanings given here throughout these Terms:
- "Base Tier" means the Postwise features listed in Section 1.1 as included with the onboarding fee.
- "Extension" means the Postwise browser extension, in whatever form we distribute it, together with any updates we ship.
- "Postwise Software" means the optional monthly-subscription tier described in Sections 1.2 and 2.3.
- "License Key" means the alphanumeric key we email you after checkout that activates the Extension.
- "Marketplace" means Facebook Marketplace, a product of Meta Platforms, Inc.
- "Partner" means a person or entity approved into the Postwise Partners Program and issued a referral code.
- "Postwise," "we," "us," "our" means Sentinel Holdings Group, Inc., a North Carolina C-Corporation doing business as Postwise.
- "Privacy Policy" means the Postwise Privacy Policy published at usepostwise.com/privacy.
- "Service" means the Extension, the Postwise dashboard and marketing site at usepostwise.com, the Partners portal, and the support we provide around them.
- "You," "your" means the person or business that purchases or uses the Service under a License Key.
19. Other terms and policies that may apply to you
Depending on how you use Postwise, additional terms apply. Each of the documents below supplements these Terms; if there is a conflict between one of them and these Terms as to the subject that document covers, the more specific document governs for that subject only.
- Postwise Privacy Policy — how we collect, use, share, and retain the data we hold about you, and how you exercise access, correction, and deletion rights.
- Postwise Partners Program Terms — the partner-facing terms shown at application, which supplement Section 10.
- Postwise Software billing terms displayed at checkout — the specific price, billing cycle, and cancellation mechanics shown to you when you subscribe.
- Meta Terms of Service, Meta Community Standards, Meta Commerce Policies, and Facebook Marketplace policies — Facebook governs your Facebook account and the listings and messages Postwise publishes on your behalf.
- Chrome, Edge, and Brave extension terms — your browser vendor governs how extensions install, update, and run inside its browser.
- Stripe's terms and privacy notice — Stripe processes your payment.
